CONTRIBUTOR TERMS AND CONDITIONS

Thank you for agreeing to participate in one or more productions of Sauti Sessions Network Limited(hereinafter “the Network”).

The Network creates and distributes a variety of editorial and creative content, including live shows, podcasts, blogs, documentaries, interviews, performances, digital publications, livestreams and other current and future productions (collectively, the "Productions").

Please read these Terms and Conditions carefullybefore signing theContributor Consent and Appearance Release(“the Release”).These Terms and Conditions are incorporated and applied into the terms of the Release, and by signing the Release, you confirm that you have read, understood and agree to be bound to the Terms and Conditions below.

By signing the Release, I voluntarily agree to participate in the Productions as a guest, interviewee, speaker, performer, artist, presenter, moderator or contributor (referred to in the Release and these Terms and Conditions as the“Contributor”). I acknowledge that the nature of the Productions has been explained to me and I agree to participate.

I give my consent to the Network and its affiliates, subsidiaries, licensees, agents, representatives, officers, directors, employees, successors and assigns to: record, photograph, film, livestream and otherwise capture my: image, likeness, appearance, voice, conversations, sounds, speeches, performance, musical performance, musical composition, audience interactions, gestures, mannerisms, biographical information voluntarily provided by me and, any other contribution made by me during the creation of the Productions (collectively referred to in this form as the “Content”).

I acknowledge that this consent shall extend to and include rehearsals, behind-the-scenes footage, promotional recordings and any incidental recordings made in connection with the creation of the Productions.

I understand and acknowledge that all recordings, photographs, audio recordings, video recordings and other materials arising from my participation in the Productions shall belong exclusively to the Network.

I hereby irrevocably assign to the Network, throughout the world and for the full term of copyright (including any extensions or renewals permitted by law), all copyright and related proprietary rights subsisting in the Content created by or contributed by me in connection with the Production, together with the unrestricted right to use, reproduce, record, publish, communicate to the public, broadcast, stream, distribute, make available, exhibit, adapt, edit, translate, subtitle, dub, synchronise, create excerpts and promotional materials from, archive, commercialise and otherwise exploit the Content, in whole or in part, in any media or format now known or developed in the future, and to authorise, license or sublicense any other person to exercise those rights.

To the extent that my participation gives rise to any performers’ rights or other rights that cannot lawfully be assigned under applicable law, I hereby irrevocably grant the Network an exclusive, perpetual, worldwide, royalty-free, transferable and sublicensable licence to exercise and exploit those rights to the fullest extent permitted by law for the purposes contemplated by the Release.

Except as expressly provided in the Release and these Terms and Conditions, nothing shall be construed as limiting the Network’s ownership of the recordings or other materials produced in connection with the Production.

To the extent permitted by law, I waive and/or agree not to assert my moral rights in the Content insofar as is necessary to enable the Network to exercise the rights granted under the Release, provided that nothing in the Release authorises the distortion, mutilation or other modification of my contribution in a manner that is prejudicial to my honour or reputation and is otherwise unlawful or misleading.

I authorise the Network to use, publish, reproduce, communicate to the public, broadcast, stream, distribute, display, exhibit, licence and/or otherwise exploit the Content in whole or in part, including in connection with: livestreams, full-length programmes, mini-documentaries, documentaries, podcasts, blogs, websites, newsletters, mobile applications, social media platforms, promotional trailers, advertisements, publicity campaigns, educational material, archival collections, and any other existing or future media or distribution platform. This consent applies worldwide and continues indefinitely unless otherwise agreed in writing.

I acknowledge and understand that the Network reserves the right to use or decline to publish any Content, including the right to refuse to record or publish material involving a minor where publication would not be in the minor’s best interests or may otherwise contravene applicable law. I acknowledge that I have no claim against the Network in the event that my contribution is not published.

I acknowledge that the Network has full editorial discretion to: edit, shorten, rearrange, excerpt, subtitle, caption, translate, dub, crop, resize, colour grade, reformat, synchronise with other content, create promotional clips, create highlight reels, archive and/or otherwise adapt the Content, provided that such exercise of discretion is lawful and does not materially misrepresent my participation or contribution to the Productions.

I waive any right to inspect or approve the final version of any Productions.

I hereby authorise the Network to use my: name, stage name, image, likeness, photograph, voice, biography, professional profile and/or any other identifying information voluntarily provided for editorial, promotional, advertising, sale, re-creation of events and/or publicity purposes relating to the Productions or otherwise, in all media, now known or hereafter devised.

Unless expressly agreed in writing before my participation, I understand that I shall not receive any royalties, residuals, repeat fees, licence fees or any other form of compensation arising from the present or future use of the Content.

Where a fee has been agreed upon prior to my participation, the fee shall constitute full consideration for the Content.

I understand that I have rights under the Data Protection Act, including the right to: request access to my personal data, request correction of inaccurate information, object to certain processing where applicable, request deletion (subject to legal or practical limitations), withdraw consent where consent is the lawful basis for processing, and lodge a complaint with the Office of the Data Protection Commissioner in the event of a breach of my rights under the Data Protection Act. I acknowledge that where I withdraw consent, such withdrawal shall not affect processing that was lawfully undertaken before the withdrawal, including Content already recorded, edited, published or distributed. Where I voluntarily disclose sensitive personal data concerning myself during the Production, I expressly consent to its recording, processing and publication for the purposes described in the Release.

I acknowledge that the Network may retain original recordings, edited Productions and archival copies of the Content indefinitely unless otherwise agreed in writing or required by applicable law for so long as reasonably necessary to fulfil the purposes described in the Release, including archival, editorial, historical and commercial purposes.

I agree to release and indemnify the Network, its affiliates, directors, officers, employees, contractors, production partners, successors, assigns and licensees against any loss, damage, liability, claim, demand, cost or expense (including reasonable legal fees) arising directly from:

I acknowledge that the Network will rely on the rights, consents and permissions granted under the Release in producing, publishing and distributing the Content. Accordingly, I agree not to bring any claim against the Network arising solely from the Network's lawful exercise of those rights in accordance with the Release.

Nothing in the Release excludes or limits any liability arising from fraud, wilful misconduct, gross negligence or any liability that cannot lawfully be excluded or limited under the laws of Kenya.

I confirm that I shall not issue any press releases or other public statements or otherwise disclose confidential information relating to the Production to any third parties, including unpublished editorial content, production processes or commercial arrangements, without the Network's prior written consent.

The Release and these Terms and Conditions shall be governed by the laws of Kenya. The courts of Kenya shall have exclusive jurisdiction over any dispute arising from the same.

The Release and these Terms and Conditions constitutes the entire agreement between the Network and the Contributor regarding their participation in the Productions. Any amendment to the Release must be in writing and signed by both parties. In the event of any inconsistency or conflict between the Release and these Terms and Conditions, the provisions of these Terms and Conditions shall prevail to the extent of the inconsistency.
